Ms. Kline is a partner at Morella & Associates and the head of the firm’s Business Services Group. With a background in business administration, finance, and the law, Ms. Kline has a broad understanding of the issues facing businesses and their owners.
Drawing on her wealth of experience in counseling business clients at all stages of their development, Ms. Kline assists clients to develop and implement systems and policies that can help businesses to prevent problems, rather than simply react to problems once they arise. By working with clients to create and refine existing corporate policy and practice, Ms. Kline’s work allows clients to focus on developing and expanding their business.
Ms. Kline counsels businesses at all stages of their development, from entity formation and selection during the creation of a new business venture, to business succession, wealth transfer, and estate planning. From structuring and negotiating private placement memoranda for startups seeking initial capital financing, to creating employment agreements and other contracts that protect business and their owners from unfair competition and theft of intellectual property, Ms. Kline’s clients benefit from her thorough understanding of the legal issues facing businesses at any stage of life and the security sound legal advice and planning can provide.
Ms. Kline’s years of experience in assisting business owners through a sale or acquisition of a business allows her to guide clients through a very exciting but important time. On the buyer side, she ensures that all due diligence and protections are put into place to allow the newly acquired business an opportunity to succeed and flourish under new ownership. On the seller side, Ms. Kline ensures that the value created by the Seller is realized in a timely fashion and preserved for future generations.
Ms. Kline advises individuals in estate planning and wealth transfer matters, and understands the unique corporate transactional tax concerns of small, family owned businesses. Ms. Kline is also experienced in helping clients resolve shareholder and business succession disputes, as well as assisting family-owned businesses transition from generation to generation.
Ms. Kline is a 1997 graduate of the University of Pittsburgh School of Law (J.D.), a 1994 graduate of Miami University, Oxford, Ohio (B.S. in Business Administration, Finance), and a member of the Class of 2008 of the University of Pittsburgh Joseph M. Katz Graduate School of Business Entrepreneurial Fellows Center. Ms. Kline is a member of the Pennsylvania Bar Association and Allegheny County Bar Association. Ms. Kline also serves as a volunteer member on advisory panels for PowerLink, an organization assisting women-owned businesses. Ms. Kline was a strategic partner and advisor to the Family Business Center at NexTier, which counsels and advises closely held family businesses.
Ms. Kline is an avid golfer and a resident of Hampton Township, PA where she enjoys spending time with her husband and dog.
